ASSOCIATION OF SACRAMENTO

AREA PLANNERS

 

BYLAWS

 

                     I.      NAME

 

This association is a non‑profit organization and no financial benefits are obtained by its members. It shall be known as the Association of Sacramento Area Planners (ASAP)

 

                  II.      PURPOSE

 

The primary purpose of the information exchange group is to promote the education of the individual for the improvement and development of his or her capabilities relating to disaster recovery planning in the corporate and electronic data processing arenas.

 

More specifically, the objectives of the association are:

 

1. To promote the education and expand the knowledge and skills of its members in the interrelated concerns of both corporate and electronic data processing disaster recovery planning;

 

2. To encourage a free exchange of disaster recovery techniques, approaches and problem solving by its members;

 

3. To provide adequate communication to keep members abreast of current events in disaster recovery planning which can be beneficial to themselves and their associates;

 

4. To communicate to corporate management, and to data processing professionals, the importance of establishing disaster recovery plans to ensure the effective utilization of corporate and data processing resources in the event of a disaster.

 

                III.      MEMBERSHIP

 

Membership in ASAP shall be based upon one having an interest and active involvement in disaster recovery planning. Membership is free and shall be renewed by members each January.

 

                IV.      ELECTED OFFICERS

 

ASAP shall be governed by a Board of Directors consisting of five elected officers:

 

1.       A President who is responsible for facilitating the decisions necessary to meet the goals and objectives of the organization; presiding over general and board meetings; and acting as the organizational focal point for ASAP business.

2.       A Vice President who will perform the duties of the President in that officer's absence; prepare and distribute Board of Directors meeting agendas‑, provide special project direction; and promote ASAP to other organizations, etc.

3.       A Program Director who will find, arrange, and coordinate meeting speakers and programs; maintain program schedules enough in advance to notify members; maintain the "Topics" list used to determine program scheduling; provide general meeting agendas; reserve and setup meeting facilities and necessary equipment and restore the meeting room to its original state and return any equipment.

4.       A Communications Director who will appoint a Recording Secretary; appoint a Newsletter Editor, prepare Certificates of Appreciation and cover letters for speakers, etc.; coordinate, maintain, and bring to general meetings the materials for the handout table; prepare correspondence as needed; prepare promotional materials when necessary‑, and maintain a reference library if one is developed.

5.       A Membership Director who will appoint a Database Administrator, maintain meeting rosters and report attendance information upon request; track member attendance and supply the necessary information to the Disaster Recovery Institute to obtain continuing education unit credit for members who are Certified Disaster Recovery Planners; generate mailing lists when needed; maintain a call tree and provide it to the appropriate individuals; and correspond with members and other organizations when necessary,

 

                  V.      APPOINTED AND VOLUNTARY POSITIONS

 

ASAP shall have three appointed positions which are chosen by the director to whom their support is provided and shall serve at that officer's discretion:

1. A Recording Secretary who is appointed by the Communications Director to take Board of Directors and general meeting minutes; provide copies of said minutes to the Newsletter Editor; and maintain a historical file.

 

2. A Newsletter Editor who is appointed by the Communications Director to prepare and mad the monthly newsletter and publish advance notification of upcoming events, programs, and other information.

 

3.A Database Administrator who is appointed by the Membership Director to maintain membership information and submit, on a monthly basis, an updated member fist for newsletter distribution.

 

The elected officers can, if they wish, solicit the membership for volunteers to help them carry out their responsibilities.

 

                VI.      ELECTION OF OFFICERS

 

Elected officers shall be elected to a one year term starting on March I and ending the following year on February 28/29.

 

Nominations for elective office shall be taken at both the December and January general meetings. Nominations may also be submitted by mad to the Membership Director and shall be accepted until February 1. Members may nominate themselves or any other member as a candidate for office, however, the nominated member shall have the opportunity to refuse the nomination prior to being considered an official candidate.

 

Election of officers shall be held at the February general meeting. Election shall be by official ballot, which shall be provided to each member present at the February general meeting. Members who wish to participate in the election, but are unable to attend the February general meeting, shall by February 1, request from the Membership Director an Absentee Ballot. Any and all Absentee Ballots shall be returned to the Membership Director before the February general meeting. Members shall be elected to offices by a simple majority.

 

Elected officers serve at the pleasure of the membership of ASAP. Any member may call for a new election by gathering the signatures of 10% of the total membership on a petition requesting the election of new officers. The petition shall be submitted to the Membership Director. A new election shall be called if two‑thirds of the members present at the following general meeting so vote. The new election shall be held two months after the vote.

 

If the President is unable to complete his or her term, the Vice President shall assume the position of President and the Board of Directors shall appoint a new Vice President. If any other elected officer is unable to complete his or her term, the Board of Directors shall appoint a replacement.

 

              VII.      GENERAL MEETINGS

 

ASAP general meetings are not limited to membership only, guests are welcome as seating permits.

 

            VIII.      SOLICITATION OF MEMBERS

 

Soliciting of other members is absolutely prohibited and shall be considered reason for immediate expulsion from ASAP.

 

                IX.      AMENDMENTS

 

Amendments to this document may be proposed by any member at any general or Board of Directors meeting. Proposed amendments shall be published in the newsletter and distributed at the next general meeting. Proposed amendments shall be adopted by a majority vote of the members present at the general meeting and ratified by the Board of Directors.
